Our Agreement With You

Effective Date: May 7, 2026

Plain‑English Summary: These Terms are the contract between you and Pearl Industry Network (“PiN,” “we,” “us,” “our”). PiN is a vetted, invite/membership‑based community platform and resource hub for adult content creators and trusted industry allies. Most features are member‑only. By creating an account, paying for membership, or using any part of the Platform, you agree to these Terms.

1) Key Definitions

  • Platform: The website, apps, portals, directories, messaging, vetting tools, and all related services we provide.
  • Member: An approved, vetted user with an active membership (creators and trusted industry allies).
  • User Content: Any information, images, text, profile data, messages, or other material you upload, post, send, or otherwise provide to the Platform.
  • Allies/Partners: Third‑party professionals and vendors vetted or listed by PiN (e.g., legal, tax, tech, other service providers).
  • Policies: These Terms, our Code of Conduct, Community Guidelines, Acceptable Use Policy, Privacy Policy, and any feature‑specific rules we publish or link.

2) Eligibility & Accounts

  1. Age & Legal Capacity: You must be 18+ or the age of majority where you live (whichever is higher) and legally able to enter contracts.
  2. Geography: We operate primarily in Canada and the United States. Access elsewhere is at your own initiative and risk.
  3. Vetting Is Required (Creators): Creators undergo reference and safety checks and must truthfully provide requested information.
  4. Account Security: Keep your login confidential. You are responsible for all activity under your account. Notify us promptly of unauthorized use.
  5. Identity & Re‑Verification: We may request identity or eligibility confirmations at any time, including repeat checks, to maintain community safety.
  6. Accuracy: Information you provide must be accurate and kept up‑to‑date. Misrepresentation is grounds for denial, suspension, or termination.

Examples (non‑exhaustive):

  • You falsely claim to be 18+ → account denied/terminated.
  • You refuse reasonable re‑verification → features suspended until resolved.

3) Membership; Fees; Auto‑Renewal; Cancellation

  1. Membership Required: Most Platform features require an active, approved membership. Public pages are informational only.
  2. Fees & Currency: Membership fees auto‑renew monthly. Billed in CAD (USD may be added in future). Taxes may apply.
  3. Billing & Processors: Payments are handled by third‑party processors. You authorize recurring charges to your chosen method until you cancel.
  4. No RefundsAll payments are final and non‑refundable to the fullest extent permitted by law, including for partial periods, downgrades, or early termination by you.
  5. Cancellations:
    1. Standard (after first month): A 30‑day cancellation policy applies. One additional monthly charge may occur after you submit cancellation; access continues through the end of that final paid month, then renewals stop.
    2. First‑Month Exception: If you cancel during your first month, and do so at least 48 hours before your next scheduled charge, no further charge will occur. Access continues through the end of the current paid month.
    3. Where to Cancel: Manage membership in your Account → Billing portal, or contact Member Services for assistance.
  6. Failed Payments: If a payment fails, we may suspend or cancel access. You remain responsible for unpaid amounts.
  7. Price/Plan Changes: We may change fees or plans on notice before your next billing cycle. Continued use after the effective date constitutes acceptance.
  8. Billing/Account Disputes: Raise any billing or account disputes with Member Services within 72 hours of the issue so we can address them promptly.

Examples:

  • You cancel mid‑month → service continues to the end of the next billing cycle; no refunds.
  • HOWEVER If you cancel during your first month, and do so at least 48 hours before your next scheduled charge, no further charge will occur. Access continues through the end of the current paid month.
  • Your card expires → your account is paused until you update payment.

4) Community Safety, Code of Conduct & Acceptable Use

Safety is PiN’s top priority. You must follow all Policies (which we may update). Violations may result in content removalfeature limitssuspension, or termination in accordance with the law and our Community Guidelines.

4.1 Speech & Behavior (Respect Requirement)

We respect freedom of expression; however, the Platform is a professional, supportive space. Keep discussions constructive and respectfulNegative, inflammatory, or highly charged political commentary is not appropriate on‑platform. If you can’t keep it respectful, don’t engage.

4.2 Prohibited Content & Conduct (non-exhaustive list)

The following content and conduct are strictly prohibited on the Platform and may result in content removal, feature restrictions, immediate suspension, permanent termination, preservation of evidence, and/or reporting to law enforcement or regulatory authorities:

    • Illegal content, unlawful activity, or conduct that violates applicable municipal, provincial, state, federal, or international law;
    • Any content, depiction, representation, communication, or activity involving minors, individuals represented as minors, or individuals appearing to be under the age of eighteen (18), regardless of whether such content is real, fictional, simulated, AI-generated, digitally altered, animated, implied, roleplayed, or otherwise presented;
    • Child Sexual Abuse Material (“CSAM”), grooming, trafficking, coercion, exploitation, predatory behavior, or glorification of underage individuals or underage-related themes;
    • Non-consensual, exploitative, abusive, deceptive, or coercive sexual content or conduct;
    • Any content or activity involving rape, incest, sexual violence, blackmail, extortion, or abuse, whether real, simulated, implied, fictionalized, or roleplayed;
    • Sex trafficking, facilitation of illegal sexual services, or reckless disregard for exploitation-related activity;
    • Harassment, hate speech, threats, intimidation, stalking, discrimination, incitement of violence, or doxxing;
    • Sharing, exposing, or distributing another person’s personal, confidential, intimate, or sensitive information without authorization;
    • Fraud, impersonation, deceptive endorsements, catfishing, identity misrepresentation, or falsified verification information;
    • Spam, phishing, malicious links, malware, automated abuse, scraping, reverse engineering, unauthorized data harvesting, or attacks against the Platform or its infrastructure;
    • Any activity that undermines the safety, privacy, integrity, reputation, or professional nature of PiN or its members;
    • Attempts to circumvent moderation, safety systems, access restrictions, verification systems, or content controls;
    • Content that violates Platform Policies, Community Guidelines, or applicable payment processor, hosting provider, or app marketplace rules.
    • PiN reserves the right to determine, at its sole discretion, whether content or conduct violates these Terms or creates safety, legal, reputational, operational, or community risk.

4.3 Public vs Private Content Spaces

PiN maintains separate standards for public-facing and private member-controlled content areas.

Public-Facing Content Areas:
Public-facing areas of the Platform, including but not limited to profile photos, banners, avatars, bios, discovery feeds, previews, thumbnails, public galleries, comments, and promotional imagery, must remain strictly safe-for-work (“SFW”) and professional in nature.

The following are strictly prohibited in public-facing areas:

    • Nudity or implied nudity;
    • Visible genitalia, pubic areas, nipples, or exposed intimate body parts;
    • Explicit, suggestive, fetishized, or sexually provocative content;
    • Sexual acts, simulated sexual activity, or sexually explicit posing;
    • Lewd, obscene, exploitative, or pornographic imagery;
    • Explicit fetish gear or sexually explicit accessories presented in a sexualized manner;
    • Graphic violence, abuse, exploitation, or degrading content.

Any content containing nudity, explicit sexual content, or otherwise mature/adult material must be designated and restricted to approved private content areas only, where permitted by law and Platform Policies.

Private Content Areas:
Private galleries and member-controlled restricted-access areas may contain adult-oriented or explicit material only where:

    • All individuals depicted are verified adults;
    • Clear, informed, and provable consent exists for all depicted persons;
    • The content fully complies with applicable law, these Terms, Community Guidelines, and Platform Policies;
    • The content does not contain prohibited conduct or exploitative material of any kind.

PiN reserves the right to review, restrict, reclassify, remove, age-gate, blur, quarantine, or permanently delete any content, whether public or private, that violates these Terms, creates safety or legal concerns, or is determined to be inconsistent with the standards, reputation, or operational requirements of the Platform.

4.4 Consent & Age (Zero Tolerance)

  • You must have clear, explicit, provable consent from every person appearing in your content.
  • No minors: Absolutely no images/videos depicting anyone under the age of majority (including family photos) may be uploaded anywhere on the Platform. Zero tolerance. We will cooperate with authorities where required.
  • Vetting/ID: Age verification is mandatory as part of onboarding. Non‑compliance may result in denial or removal.
  • Phone Number: By providing your phone number during registration or account updates you are agreeing to receiving security notifications including, but not limited to Two Factor Authentication, Multi Factor Authentication or Security related notices as they apply to your account. This notifications cannot be opted out of due to account security. Opting out will immediately trigger deactivation of your account. We will never use the number provided for any marketing purposes unless you explicitly allow it. At this point, we have no intention of ever marketing to SMS or Phone Numbers, nor do we share it with any 3rd parties.

4.5 Networking & Off‑Platform Interactions

  • Members may use the Platform to find and collaborateYou alone control whether and how you interact off‑platform. PiN does not arrange meetings, provide security, or guarantee outcomes. Use common‑sense safety measures.

4.6 Reporting & Response

  • Report concerning behavior or content via in‑product tools or Member Services.
  • We may take immediate action (including emergency suspensions) if safety risks are identified.

Examples:

    • A member posts a call for “no‑screening hookups” → content removed; account reviewed.
    • A member shares non‑consensual images → immediate termination and report to authorities as required.

4.7 Child Safety, CSAM & Exploitation Enforcement

Pearl Industry Network (“PiN”) maintains a strict zero-tolerance policy regarding Child Sexual Abuse Material (“CSAM”), child exploitation, grooming, trafficking, coercion, abuse, or any sexualized content, communication, activity, depiction, or conduct involving minors or individuals represented, implied, or appearing to be minors.

This prohibition applies regardless of whether the material or conduct is:

    • Real, staged, fictional, simulated, implied, or roleplayed;
    • AI-generated, digitally altered, synthetic, animated, illustrated, or computer-generated;
    • Shared publicly, privately, temporarily, encrypted, or through direct communications;
    • Intended as fantasy, parody, artistic expression, or otherwise.

Users are strictly prohibited from:

    • Uploading, storing, transmitting, requesting, advertising, promoting, linking to, discussing, or distributing CSAM or exploitative material involving minors;
    • Attempting to groom, solicit, lure, exploit, threaten, manipulate, traffic, extort, or otherwise endanger minors;
    • Misrepresenting age or identity to gain access to the Platform;
    • Facilitating or encouraging illegal sexual conduct involving minors in any form;
    • Using the Platform to organize, coordinate, or promote exploitative or predatory activity.

PiN utilizes automated and manual trust and safety systems, including AI-assisted image, video, text, metadata, and behavioral analysis technologies, to detect, prevent, investigate, and enforce violations involving CSAM, exploitation, trafficking, grooming, or other prohibited conduct. By using the Platform, you acknowledge and consent to the use of such moderation, monitoring, and safety technologies.

While PiN employs commercially reasonable efforts and industry-standard moderation systems, no automated or manual system can guarantee one hundred percent (100%) detection accuracy or prevention capability. Users acknowledge that false positives and false negatives may occur, and PiN does not guarantee that all prohibited content, conduct, or communications will be identified immediately or before exposure.

PiN reserves the right, at its sole discretion and without prior notice, to:

    • Remove or restrict content;
    • Suspend, limit, or permanently terminate accounts;
    • Preserve records, communications, metadata, device identifiers, IP logs, and related evidence;
    • Report suspected violations to law enforcement, child protection agencies, regulatory authorities, the National Center for Missing & Exploited Children (NCMEC), Cybertip.ca, and other applicable Canadian, United States, or international authorities;
    • Cooperate fully with investigations, subpoenas, preservation requests, and lawful disclosure obligations.

Users understand and agree that they have no expectation of privacy with respect to investigations involving suspected CSAM, exploitation, trafficking, grooming, child endangerment, or serious safety threats.

Reports regarding CSAM, child exploitation, grooming, trafficking, or underage activity may be submitted to and may be escalated to authorities without notice to the reported user.

5) User Content; Licenses; Moderation

  1. Ownership: You retain ownership of your User Content.
  2. License to PiN: You grant PiN a non‑exclusive, worldwide, transferable, sublicensable, royalty‑free license to host, store, use, reproduce, display, perform, modify (formatting only), analyze, and create derivative insights from your User Content to operate, secure, improve, and promote the Platform and community (including safety/vetting, search & discovery, and service recommendations).
  3. Representations: You represent you have rights to the content and that it complies with law and Policies.
  4. Moral Rights: To the extent permitted by law, you waive moral rights (or agree not to assert them) against PiN for the above uses.
  5. Publicity & Feedback: You permit us to identify you as a member (not an endorsement) and to use feedback without restriction.
  6. Moderation: PiN may review, refuse, remove, or restrict content at any time to protect members and comply with law. We do not promise to review everything.
  7. Storage: We are not a backup service and may set storage/file‑type limits.

6) Platform IP; No Reverse Engineering; APIs & Scraping

  • The Platform (software, design, databases, trademarks, and content we create) is owned by PiN or its licensors and is protected by IP laws.
  • You may not copy, modify, distribute, decompile, or reverse engineer any part of the Platform; build a competing service using our confidential information; or scrape or harvest data from the Platform without written permission.
  • Automated access (bots, crawlers) requires our express, written consent.

7) Privacy; Data Use; Retention

  • Our Privacy Policy (incorporated by reference) explains what we collect and how we use it. By using the Platform, you consent to those practices.
  • Third‑Party Verification: Biometric/ID verification is performed by vetted third‑party providers. PiN does not store biometric images or full ID scans; we retain only minimal records necessary to show that verification occurred and its result, stored in a hardened, encrypted environment.
  • Direct ID to PiN (exceptional cases): If we must collect ID directly, it is retained no longer than 72 hours after the ticket is closed, then securely deleted.
  • Deletion Requests: Members may request deletion of user‑generated content and profile data via Member Services. Compliance‑related records (e.g., age‑verification results, safety flags) may be retained for the legally required period under applicable law.
  • Law Enforcement: We may preserve and disclose information when required by law or necessary to protect members and the Platform.

8) Third‑Party Services & Partners

  • We may link to or integrate third‑party services (payment, scheduling, messaging, video tools). Their terms and privacy policies apply.
  • Partner Transactions (Important): If you engage a Partner discovered through the Platform, your transaction is directly with that Partner. PiN is not a party and does not set or collect Partner fees, warranties, or refunds. Disputes regarding Partner transactions are between you and the Partner.
  • Data Sharing to Partners: PiN does not sell data. For Partner interactions, we may share only minimal contact details (e.g., name, email, phone) required for the interaction. You provide any additional information directly to the Partner.

9) Copyright & IP Notices (Canada & U.S.)


9.1 Notice‑and‑Notice (Canada)

If you believe your copyright is infringed by material on the Platform and you are in Canada, you may send a notice of claimed infringement to our designated contact (see Section 22 – Contact). We may forward your notice to the relevant member and take appropriate action.

9.2 U.S. DMCA‑Style Notices

If you are in the United States or assert U.S. rights, you may submit a notice consistent with 17 U.S.C. §512(c)(3) to our designated agent (see Section 22). We will respond in accordance with our repeat‑infringer policy.

Your notice should include: (i) identification of the work claimed infringed; (ii) identification of the allegedly infringing material and its location; (iii) your contact details; (iv) a statement of good‑faith belief; (v) a statement under penalty of perjury that you are authorized; and (vi) your physical or electronic signature.
Counter‑Notices: If your content was removed and you believe it was a mistake or misidentification, submit a counter‑notice meeting 17 U.S.C. §512(g) requirements.

Repeat Infringers: PiN may, in appropriate circumstances, disable or terminate accounts of repeat infringers.

10) Anti‑Exploitation & Sensitive‑Use Rules

  • PiN prohibits any use of the Platform that promotes, facilitates, or profits from sex trafficking, exploitation, or prostitution or that recklessly disregards such risks.
  • Content involving minors (CSAM) or non‑consensual acts is strictly forbidden and will be referred to relevant authorities.

11) Communications; CASL/Spam; Notifications

  • By creating an account, you consent to receive service, safety, and transactional communications (e.g., account, billing, policy updates). You can’t opt out of strictly service‑essential notices.
  • We may also send community updates and offers; you may opt out via unsubscribe links or account settings where available.
  • Notices under these Terms may be delivered via email to your account email or via in‑product notifications and are deemed received when sent.

12) Availability; Changes; Beta Features

  • We aim for high availability but do not guarantee uninterrupted service. Planned outages or updates may occur.
  • We may modify or discontinue features at any time. For material changes with negative impact, we will provide notice where practicable.
  • Some features may be labeled beta or preview and may be unstable or change unexpectedly.

13) Security

  • Do not probe, scan, or test the vulnerability of the Platform; do not circumvent authentication or security; do not submit malware or attempt to access other users’ data.
  • If you discover a vulnerability, notify us promptly and do not publicly disclose it until fixed.

14) Disclaimers

  • The Platform and all content are provided “as is” and “as available.” To the fullest extent permitted by law, PiN disclaims all warranties (express, implied, statutory), including merchantability, fitness for a particular purpose, and non‑infringement.
  • We do not guarantee the conduct, identity, or suitability of any member or partner, nor the accuracy of listings, profiles, or content. Vetting reduces risk but is not a guarantee.

15) Limitation of Liability

To the fullest extent permitted by law: (a) PiN will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, goodwill, data, or use), even if advised of the possibility; and (b) our total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of (i) the amounts you paid to PiN in the 12 months preceding the claim or (ii) CAD $100.

Some jurisdictions do not allow certain exclusions or limitations; in those cases, the above applies to the maximum extent allowed.

16) Indemnification

You agree to defend, indemnify, and hold harmless PiN, its directors (including Board), officers, employees, contractors, and partners from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of laws or Policies; or (d) your interactions with other members or third parties.

17) Appeals; Internal Dispute Resolution (Platform Actions)

Two‑Stage Appeal for Platform actions (content removal, moderation, safety restrictions, suspension, termination):
Stage 1 – Member Services: Submit within 14 days; cooperate with Trust & Safety review.
Stage 2 – Board Panel: If unresolved, escalate to a Board panel (disinterested directors) for a final, binding decision.
This section governs administrative disputes and does not waive non‑waivable statutory rights or remedies (e.g., injunctive relief for IP/confidentiality).

18) Governing Law; Venue

  • Internal‑affairs (PIN Inc.): Canada (CBCA) and Alberta law; exclusive venue in Alberta courts (Calgary).
  • Internal‑affairs (PIN LLC): Delaware law; exclusive venue in Delaware state courts (including the Court of Chancery).
  • All other disputes: binding arbitration seated in Calgary, Alberta, under ADRIC Arbitration Rules; award may be entered in any court of competent jurisdiction.

19) Changes to Terms

We may update these Terms by posting a revised version with a new Effective Date and providing notice where practicable. Continued use after the effective date constitutes acceptance.

20) Term; Suspension; Termination

  1. Our Rights: We may suspend or terminate access at any time if we believe you violated these Terms or our Policies or present a safety risk.
  2. Your Rights: You may stop using the Platform and cancel your membership at any time (see Section 3).
  3. Effect: Upon termination, your right to access ends. Some information may be retained for legal, security, or audit reasons in accordance with our Privacy Policy.
  4. No Refunds: Termination does not create any right to a refund unless required by law.

21) Governing Law; Venue

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict‑of‑laws rules. For any dispute not subject to Section 18 (or where law requires court access), the parties submit to the exclusive jurisdiction and venue of the courts in Alberta, Canada.

22) General

  • Entire Agreement: These Terms plus Policies are the entire agreement between you and PiN regarding the Platform.
  • Order of Precedence: If these Terms conflict with a Policy, these Terms control unless the Policy explicitly states otherwise.
  • Severability: If any provision is unenforceable, the remainder stays in effect.
  • No Waiver: Our failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset sale.
  • Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control.
  • Export & Sanctions: You will not use the Platform in violation of applicable export control or sanctions laws.

23) Examples & FAQs (Informative Only)

These examples are summaries to aid understanding. They do not limit our rights described elsewhere.

Q: Can I get a refund if I cancel mid‑term? A: No, due to the nature of the association, and considering we do not have or enforce contracts of any kind, once a cancellation is made, your service will remain active until the end of the period as explained in Section 3, at which point your membership will be terminated. Unfortunately, we cannot provide a refund.

Q: May I organize in‑person collaborations with other members? A: Yes, but you assume all risks. Use common‑sense safety measures; PiN does not arrange or guarantee meetings however we do encourage you to take the necessary precautions to ensure your safety.

Q: Can I post explicit images? A: Only if they comply with law and our Policies. Never minors, non‑consensual, or exploitative content, and only in your private gallery. All Content, public and private must always be in compliance with law and our Policies.

Q: My content was removed—what now? A: You can seek reconsideration via Section 17 within 14 days via our two-stage appeal process. The Board panel’s decision is final for Platform actions.

Q: Can I scrape or rebuild PiN’s directory? A: No. Scraping, copying, or reverse engineering the Platform is prohibited.

These Terms incorporate by reference the following PiN Policies (each to be published and updated periodically):

  • Privacy Policy
  • Code of Conduct
  • Community Guidelines & Safety Standards
  • Acceptable Use Policy
  • Copyright/IP Policy (Canada & U.S.)

By using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service and all incorporated Policies.
